Standing Committees and Resolutions

I. Library

The Chapter Librarian is hereby authorized to purchase up to $200.00 worth of books, magazines, videos, or other library materials each calendar year. Any amount not spent in a given calendar year does not carry over to the next year. The Librarian is to submit a detailed report showing the items purchased, dated purchased and amount paid, to the Treasurer for reimbursement. The Treasurer is authorized to pay the reimbursement without further authority.

II. ABS National Director

i. The Chapter members will elect a National Director to server on the Board of Directors of the American Bamboo Society. The term of office will be that described by the ABS. On each election of a National Director the Secretary is directed to certify the election to the ABS Secretary within 45 days.

ii. The National Director is directed to represent the Chapter and its members in all matters that come before the ABS board. Any position taken by the National Director can be overridden by a majority vote of the membership.

iii. The National Director is to attend all ABS board meetings and participate in all electronic (telephone, email, forum etc.) meetings. If the elected National Director is unable to attend or participate in electronic meetings then the National Director or SEC President can appoint a proxy to serve as the Chapter representative. The proxy will have the same authority and responsibilities as the elected National Director.

iv. The National Director will report to the membership on the activities and actions taken by the ABS Board at each annual meeting of the SEC. Additional reports can be made to the membership at the discretion of the National Director or at the call of the SEC President.

v. The Chapter Treasurer is hereby directed to provide expenses to the National Director to assist with the expense of attending the annual ABS National Meeting. The amount is to be the same as that provided to ABS Directors At Large to assist with their expenses. The membership can set a different amount by a majority vote. Additional expenses (phone calls, postage, etc.) are to be reimbursed by the Treasurer. The National Director is required to submit a detailed request to the Treasurer for expense reimbursement. The Chapter Board of Directors by a majority vote can authorize additional expenses for the National Director for attendance at any required ABS Board meeting.

III. Treasurer

i. The Treasurer is hereby directed to maintain complete line item records of all receipts and disbursements on behalf of the Chapter starting with all activities as of January 1, 2002. A consolidated report is to be presented at each business meeting of the Chapter and a proper balance sheet is to be published once a year in the Newsletter.

ii Be it resolved that the Southeast Chapter American Bamboo Society hereby authorizes and directs the currently elected or appointed Treasurer to establish and maintain a checking account in the name of the Chapter at a bank or financial institution of his/her choice. The Chapter President is hereby authorized to designate those authorized to sign checks on behalf of the Chapter. The currently elected or appointed Treasurer is authorized and directed to secure the signatures required by the bank or financial institution.

This resolution is effective February 16, 2002 and is valid until canceled by a majority vote of the membership and is to serve as any required authorization needed by the bank or financial institution. The Chapter's federal (EIN Number is in the official Minute Book of the Chapter) is to be used whenever an account is opened.

IV. Newsletter Editor

The Treasurer is hereby directed to reimburse the Newsletter Editor $225.00 per issue. The amount of reimbursement can be changed by a majority vote of the membership.

V. The use of the term "Chairman" in any of the material of the Southeast
Chapter American Bamboo Society, Inc. shall be considered to refer to and be interchangeable with the terms - "Chairwoman", "Chairperson".

VI Membership Committee

The Duties and Responsibilities of the Membership Chairman shall include, but not be limited to, the following:

i. Maintain a complete list of the membership of the Chapter and adequate records to document the membership list.

ii. Provide timely notification of membership additions or changes to the
ABS National Membership Chairman, ABS National Treasurer, ABS National Newsletter Editor (if required), SEC Treasurer and SEC Newsletter Editor and any other office or committee designated by the President of the Chapter.

iii. Cause the Membership list to be published at least once a year, on the SEC Website and/or in the SEC newsletter or other method designated by the Advisory Board or the General Membership of the Chapter.

iv. Provide an annual report on the state of the Membership to the General Membership.

v. The Advisory Board or the President can assign additional duties or
Responsibilities from time to time as required.

vi. The Treasurer is hereby directed to reimburse the Membership Chairman or individuals designated by the Membership Chairman for actual expenses of the Membership Committee. The request for reimbursement must be accompanied by a complete expense report showing each item and the actual cost. Items such as postage, printing, paper, stationery, telephone expenses, etc. are items that are covered. The Treasurer has the authority to allow or disallow any item that the Treasurer feels is not an appropriate expense. In the event an item is disallowed, the Membership Chairman can submit the disputed item to the Advisory Board for their review and approval or disapproval. If the Membership Chairman has any doubts he/she should contact the Treasurer beforehand to seek approval. If the Membership Chairman and the Treasurer cannot reach agreement, the item should be submitted to the Advisory Board for determination.

vii. The Membership Chairman is authorized to institute such rules for
membership in the Chapter as needed to make the membership process as efficient as possible. The Advisory Board or the membership can add to, modify or remove any requirement put forth by the Membership Chairman.

VII Secretary

The Secretary is directed to file the necessary forms and pay any fees required to maintain the Chapters Non-Profit incorporation status and to maintain a copy of Articles of Incorporation in the Official Minute Book of the Chapter.

The Secretary is directed to send a letter to each person that gives a presentation at any chapter meeting thanking such person for their assistance in making the meeting a success. Letters are also to be sent to members, individuals or organizations that host any chapter meeting.

VIII Webmaster

The Webmaster is hereby authorized and directed to create and maintain a web site for the SEC with its own domain name. The cost should not exceed $200.00 setup and $70.00 per year after that without Chapter approval. The Treasurer is directed to reimburse the Webmaster for setup and maintance fees for the web site as well as other expenses (phone calls, postage etc.). The Webmaster is required to file a detailed expense report with the Treasurer for reimbursement.

IX. Plant Sales

Any member selling plants at a Chapter sponsored sale shall donate 10% of their gross sales to the Chapter. The members are on the honor system and no reporting is required.

X. Anderson Moso Workday

The Treasurer is directed to reimburse the Anderson work party Chairman or the person designated by the work party chairman for the 300 pounds of fertilizer to use on the Moso grove for each clean up.
